These Terms of Service ("Terms") govern your access to and use of the website(s), platforms, content, tools, and services (collectively, the “Services”) operated by Your Biz Rep ("Your Biz Rep," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms and all applicable laws.

If you do not agree to these Terms, you must not access or use the Services.

1. Description of Services

Your Biz Rep is a business consulting and advisory platform that provides educational content, strategic consulting, introductions to third-party professionals, and resources related to business growth, acquisitions, exits, and ownership transitions.

Your Biz Rep does not provide legal, tax, accounting, investment, or brokerage services unless expressly stated in a written agreement.

2. Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. No Professional Relationship

Use of the Services does not create a fiduciary, agency, partnership, joint venture, broker-client, attorney-client, accountant-client, or investment advisory relationship between you and Your Biz Rep.

Any decisions you make based on information obtained through the Services are made at your own discretion and risk.

4. User Responsibilities

You agree to:

Provide accurate and truthful information

Use the Services only for lawful purposes

Comply with all applicable local, state, and federal laws

Not interfere with the operation or security of the Services

You agree not to:

Misrepresent your identity or authority

Upload or transmit malicious code

Attempt unauthorized access to systems or data

Use the Services to solicit funds or conduct transactions without authorization

5. Intellectual Property

All content, materials, trademarks, logos, text, graphics, and software associated with the Services are the exclusive property of Your Biz Rep or its licensors and are protected by United States and Florida intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes only.

6. Third-Party Services and Links

The Services may contain links to third-party websites, tools, or services not controlled by Your Biz Rep. We do not endorse and are not responsible for the content, availability, or practices of third-party services.

Your interactions with third parties are solely between you and the third party.

7. Fees and Payments (If Applicable)

Certain Services may require payment pursuant to a separate written agreement. All fees are non-refundable unless expressly stated otherwise in writing.

Your Biz Rep reserves the right to change pricing or introduce new fees with reasonable notice.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, YOUR BIZ REP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOUR BIZ REP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY FLORIDA LAW, YOUR BIZ REP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL YOUR BIZ REP’S TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT PAID BY YOU TO YOUR BIZ REP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Your Biz Rep and its owners, officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

Your use of the Services

Your violation of these Terms

Your violation of any applicable law or third-party rights

11. Suspension and Termination

Your Biz Rep reserves the right, in its sole discretion, to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms.

All provisions which by their nature should survive termination shall survive.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located within the State of Florida, and you consent to such jurisdiction.

13. Changes to These Terms

Your Biz Rep reserves the right to modify these Terms at any time. Changes will be effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be unlawful or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
